The Mason Community Players Board of Directors is proposing an amendment to the Code of Regulations. It must be ratified “by the written assent of two-thirds of the members of this corporation, or by a majority vote of the members present at a regular meeting, or at a special meeting called for that purpose, or at any annual meeting of the members.” The Board is asking that those present virtually at the 2021 Annual Meeting of January 9, 2021 vote to ratify the amendment.
The change proposed is following.
That there be added in Article II: Trustees/Directors the following sub-point between (b) Number and election and (c) Term of office. The subsequent sub-points would be re-lettered.
The new sub-point would read:
(c) Eligibility Any current member of the Mason Community Players over the age of 18 is eligible to be a candidate for election as a trustee/director. However, no member who is a member of the Board of Directors of another community theater group may be a candidate. Similarly, no trustee/director may serve or be elected to the Board of Directors of another community theater group during his or her term. Should any trustee/director be a candidate for or be elected to the Board of Directors of another community theater group, he or she will forfeit his or her seat on the MCP Board.
